TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using APIBuilderHQ at apibuilderhq.com (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Beta Service

APIBuilderHQ is currently in beta. Features may change, be added, or be removed without notice. We do not guarantee uptime, availability, or continued operation of any specific feature. The Service is offered on an "as available" basis during this period.

3. The Service

APIBuilderHQ is a browser-based API request builder. The free tier provides core functionality, including request building, sending, saving, and environment variables. The Pro tier ($12.00/month or $99.00/year) unlocks AI-powered request generation and additional benefits as described on the pricing page.

4. Pro Tier and Billing

Pro access is provided via secure token stored in your browser. Subscriptions are billed in advance through Stripe, Inc. By subscribing, you authorize recurring charges until cancellation. You may cancel at any time through the Customer Portal; cancellation takes effect at the end of the current billing period. Pricing is as stated on the pricing page and may change with reasonable notice.

5. Refunds

We offer no refunds for partial billing periods. Annual plans are non-refundable after thirty (30) days from the date of purchase. We will issue refunds for technical errors (duplicate charges, charges after cancellation) on request to hello@apibuilderhq.com.

7. Acceptable Use

You agree not to: (a) use the Service to violate any applicable law; (b) use the Service to send unauthorized requests to APIs you do not have permission to access; (c) attempt to reverse-engineer, decompile, or interfere with the Service; (d) use automated means to circumvent rate limits or usage quotas; (e) use the Service to generate, transmit, or store malicious code; (f) impersonate another person or entity; (g) resell or redistribute the Service without our written permission. Violation may result in immediate termination of access.

8. AI Generation Disclaimer

The AI Generate feature uses OpenAI's API to generate API request structures from plain-English prompts. AI-generated outputs may be inaccurate, incomplete, or contain errors. You are solely responsible for reviewing and testing all AI-generated requests before any production use.

You must not paste real API keys, passwords, secrets, tokens, personal information, or any sensitive credentials into AI generation prompts. Prompts are transmitted to OpenAI for processing under OpenAI's terms of service. APIBuilderHQ does not store prompts on our servers, but we cannot prevent OpenAI from processing them. Use placeholder values such as {{API_KEY}} instead of real credentials.

We reserve the right to apply per-user fair use limits on AI generation to maintain service quality and manage costs.

9. Privacy-First Data Handling

APIBuilderHQ does not store your API keys, environment variables, request bodies, or saved collections on our servers. All sensitive values you enter into the Variable Helper or request builder are stored exclusively in your browser's localStorage and are never transmitted to our servers, except when you explicitly send a request through our serverless proxy to its third-party destination.

For Pro subscribers, we store an irreversible hash of your email address (associated with your Stripe customer ID) to enable magic link account recovery. We do not store the email address itself in plaintext on our servers.

10. Service Availability and Modifications

We may modify, suspend, or discontinue the Service or any feature at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation. We will use commercially reasonable efforts to give existing Pro subscribers advance notice of material changes that affect paid features.

11. As-Is Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. APIBUILDERHQ DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE SECURE OR NOT LOST.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APIBUILDERHQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) ONE HUNDRED FORTY-FOUR DOLLARS ($144.00) OR (B) THE AMOUNT YOU PAID TO APIBUILDERHQ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

13. Indemnification

You agree to indemnify, defend, and hold harmless APIBuilderHQ and its operators from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; (d) any content or requests you generate, send, or transmit through the Service; (e) your misuse of API keys, credentials, or third-party APIs.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including ownership of content, disclaimers, limitations of liability, indemnification, and dispute resolution.

You may stop using the Service at any time. Pro subscribers may cancel through the Customer Portal.

15. Dispute Resolution and Arbitration

Any dispute arising from or related to these Terms or the Service shall first be addressed by good-faith communication with us at hello@apibuilderhq.com for at least thirty (30) days before any formal proceeding.

If the dispute is not resolved informally, you and APIBuilderHQ agree to resolve any claim through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in New York County, New York, or remotely. The arbitrator's decision is final and may be enforced in any court with jurisdiction.

CLASS ACTION WAIVER: YOU AND APIBUILDERHQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

OPT-OUT: You may opt out of this Section 15 by sending written notice to hello@apibuilderhq.com within thirty (30) days of first accepting these Terms. Your notice must include your full name and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.

This Section 15 does not prevent either party from seeking injunctive relief in a court of competent jurisdiction for intellectual property infringement or unauthorized access to the Service.

16. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Subject to Section 15, any judicial proceedings shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

17. Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law without notice to you.

18. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and APIBuilderHQ regarding the Service and supersede any prior agreements.

19. Changes

We may update these Terms at any time. Material changes will be communicated through the Service or by email to Pro subscribers. Continued use of the Service after changes constitutes acceptance of the updated Terms. The "Last updated" date at the top reflects the most recent revision.
